Please read these terms carefully before using Property Bridge. By accessing or using our platform, you agree to be bound by these terms.

Acceptance of Terms

Welcome to Property Bridge, a comprehensive property management platform. These Terms of Service ("Terms") govern your access to and use of Property Bridge's services, website, and applications (collectively, the "Platform").

By creating an account, accessing, or using any part of our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. We will notify users of any material changes through the Platform or via email. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

Eligibility

To use Property Bridge, you must meet the following requirements:

Be at least 18 years of age or the age of majority in your jurisdiction

Have the legal capacity to enter into binding contracts

Not be prohibited from using the Platform under applicable laws

Provide accurate and complete registration information

Maintain the security and confidentiality of your account credentials

User Accounts and Registration

Account Creation

To access certain features of the Platform, you must register for an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

Account Types

Property Manager/Landlord

Manage properties, tenants, leases, maintenance requests, and financial operations

Tenant

Access lease information, make payments, submit maintenance requests, and communicate with landlords

Company Accounts

If you create a company account, you represent and warrant that you have the authority to bind that entity to these Terms. You are responsible for managing user permissions and roles within your organization.

Platform Usage and Services

Property Bridge provides a comprehensive property management platform with the following features:

Property Management

Create, manage, and track properties and units, including detailed information, amenities, and media assets.

Tenant Management

Onboard tenants, manage tenant profiles, track tenant history, and facilitate communication.

Lease Agreements

Create, manage, and track lease contracts, including terms, renewals, and expiration notifications.

Payment Processing

Process rent payments, security deposits, and other fees through integrated payment gateways.

Maintenance Management

Submit, track, and manage maintenance requests with priority levels and status updates.

Financial Reporting

Generate comprehensive reports on property performance, expenses, payments, and financial analytics.

Document Management

Upload, store, and manage important documents, contracts, and property-related files.

Communication Tools

Built-in messaging and notification system for landlord-tenant communication.

Payment Terms

Platform Fees

Property Bridge may charge subscription fees or transaction fees for use of the Platform. All fees are exclusive of applicable taxes unless otherwise stated. You agree to pay all fees associated with your account in accordance with the pricing and payment terms presented to you.

Rent Payments

When processing rent payments through the Platform:

  • Payment processing is handled through secure third-party payment processors (Paystack)
  • Transaction fees may apply and will be disclosed before payment
  • Payments are subject to the payment processor's terms and conditions
  • Property Bridge is not responsible for payment processing errors or delays caused by third parties
  • All payment disputes should be resolved between landlords and tenants

Refunds

Platform subscription fees are generally non-refundable unless required by law or at our sole discretion. Rent payments and security deposits are governed by the lease agreement between landlords and tenants.

Payment Authorization

By providing payment information, you authorize us and our payment processors to charge the specified payment method for all fees and charges. You represent that you have the legal right to use any payment method you provide.

Prohibited Activities

You agree not to engage in any of the following prohibited activities:

Violate any applicable laws, regulations, or third-party rights

Use the Platform for any fraudulent, illegal, or unauthorized purpose

Impersonate any person or entity, or falsely state or misrepresent your affiliation

Interfere with or disrupt the Platform or servers/networks connected to the Platform

Attempt to gain unauthorized access to any portion of the Platform or other accounts

Upload or transmit viruses, malware, or any other malicious code

Collect or harvest any information about other users without their consent

Use automated systems (bots, scrapers) to access the Platform without permission

Engage in any discriminatory practices prohibited by fair housing laws

Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable

Violate any intellectual property rights of Property Bridge or third parties

Attempt to reverse engineer, decompile, or disassemble any part of the Platform

Violation of these terms may result in immediate suspension or termination of your account and legal action if necessary.

Content and Intellectual Property

Your Content

You retain ownership of any content you submit to the Platform (property information, documents, messages, etc.). By submitting content, you grant Property Bridge a worldwide, non-exclusive, royalty-free license to use, store, display, and process your content solely for the purpose of providing and improving our services.

You are solely responsible for your content and represent that you have all necessary rights to submit it. You agree not to upload content that infringes on intellectual property rights or violates any laws.

Platform Content

All content on the Platform, including text, graphics, logos, icons, images, software, and other materials (excluding user-generated content), is the property of Property Bridge or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without explicit permission.

Trademarks

"Property Bridge" and related logos are trademarks of Property Bridge. You may not use these trademarks without our prior written consent.

Data Protection and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

You are responsible for maintaining the confidentiality of any sensitive information you share through the Platform and for complying with applicable data protection and privacy laws in your jurisdiction.

Termination and Suspension

Termination by You

You may terminate your account at any time by contacting our support team or through your account settings. Upon termination, your access to the Platform will cease, though certain provisions of these Terms will continue to apply.

Termination by Property Bridge

We reserve the right to suspend or terminate your account and access to the Platform if we are legally required to for any reason, including:

  • Violation of these Terms of Service
  • Engaging in fraudulent or illegal activities
  • Non-payment of fees
  • Extended periods of inactivity
  • Actions that harm or could harm other users or the Platform

Effect of Termination

Upon termination, your right to use the Platform will immediately cease. We may delete your account and any content associated with it, though we may retain certain information as required by law or for legitimate business purposes. You remain liable for all fees and charges incurred prior to termination.

Disclaimers and Warranties

Please read this section carefully as it limits our liability to you.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, Property Bridge DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant the accuracy, completeness, or reliability of any content on the Platform.

Property Bridge is a platform that facilitates property management but is not a party to any agreements between landlords and tenants. We are not responsible for any disputes, damages, or losses arising from such relationships or transactions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Property Bridge AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Damages resulting from your use or inability to use the Platform
  • Unauthorized access to or alteration of your content or data
  • Statements or conduct of any third party on the Platform
  • Any other matter relating to the Platform

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO Property Bridge IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Property Bridge and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or any content submitted through your account
  • Any agreements or disputes between you and other users
Dispute Resolution and Arbitration

Informal Resolution

Before filing a claim, you agree to contact us at support@propertybridge.io to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email within 30 days.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Property Bridge is registered, without regard to its conflict of law provisions.

Arbitration Agreement

Any disputes arising from or relating to these Terms or the Platform shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for infringement of intellectual property rights or confidential information. You and Property Bridge agree to waive the right to a trial by jury.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Property Bridge regarding the use of the Platform.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms without restriction.

No Agency

No agency, partnership, joint venture, or employment relationship is created between you and Property Bridge as a result of these Terms or your use of the Platform.

Force Majeure

Property Bridge shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, or governmental actions.

BY USING Property Bridge, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE PLATFORM.
